Corporate SaaS Scope & Services
The Company operates CrewMento, an AI-powered frontline compliance and Learning Management System (LMS) designed for workforce verification, SOP standardization, and automated asset risk mitigation. These Terms govern all access to and use of the platform by enterprise clients ("Client") and their authorized plant operators, safety leads, administrators, and third-party contractors.
Account Infrastructure & Third-Party Contractor Liability
- Multi-Tenant Site Partitioning: Clients may bring their own extended networks, including suppliers, contractors, and third-party vendors, into their dedicated tenant dashboard.
- Liability Shift: The Client assumes full operational, legal, and safety liability for all activities, data entries, and compliance validations executed by their third-party contractors. The Company acts solely as a technical platform provider and expressly disclaims any liability arising from floor operations, safety incidents, audit failures, or regulatory penalties incurred by the Client or its contractors.
"Bring Your Own Key" (BYOK) AI Architecture & IP
- AI Tooling Responsibility:CrewMento features automated AI ingestion tools. The platform operates via a Bring Your Own Key (BYOK) model using the Client's own external API keys (e.g., Google Gemini).
- Data Processing via AI: The Company does not own, store, or utilize raw manual texts, compliance schemas, or operating manuals for global model training. Intellectual Property (IP) of uploaded manuals remains strictly with the Client. Data processing, token retention, and privacy boundaries are governed entirely by the contract between the Client and their third-party AI provider.
Billing, Annual Subscriptions, & Tier Upgrades
- Subscription Model: Services are billed upfront on an annual recurring basis in either Indian Rupees (INR) or United States Dollars (USD).
- 30-Day Free Trial: New signups may receive a 30-day complimentary access tier. Unless canceled before the 30th day, the annual billing commitment commences automatically.
- Mid-Cycle Tier Upgrades: If the Client exceeds their allocated user, operator, or volume headcount mid-billing cycle, the Company will issue a prorated invoice for the remainder of the annual term based on the higher tier. Access to the platform will not be paused, ensuring continuous operational compliance tracking.
Standard Refund Policy & Tax/GST Adjustments
- Zero-Refund Policy: To protect against complex tax reversals, foreign exchange shifts, and statutory Indian Goods and Services Tax (GST) adjustments, all annual payments are strictly non-refundable.
- No Prorated Credits: If a Client terminates their subscription mid-year, the account will remain active until the end of the paid annual cycle, and no partial or prorated refunds will be issued.
Termination & 30-Day Data Retrieval Window
- Account Deactivation:Upon expiration or termination of the subscription, the Client's active dashboard access will be restricted.
- Data Export Grace Period:The Company will maintain and safeguard the Client's historical verification archives, timestamps, and compliance trails for exactly thirty (30) days post-termination. During this period, the Client may request or export their data. On the 31st day, all data will be permanently and irreversibly purged from our active production servers.
Limitation of Liability & Governing Law
- Governing Law: These terms are governed by and construed in accordance with the laws of the Republic of India. Any legal disputes shall fall under the exclusive jurisdiction of the courts located where the Company is registered.
- Global Compliance Disclaimer: While the platform provides tools to assist with audits, the Client is solely responsible for ensuring that their configurations satisfy regional safety regulators (e.g., OSHA in the US, Safe Work Australia, or European HSE directives).
