Welcome to CrewMento. These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the software-as-a-service (SaaS) platform, websites, mobile applications, and compliance tracking tools operated by Webgrapes Private Limited("Company", "We", "Us", or "Our").
By registering for an account, accessing, or using CrewMento, you ("Client", "Enterprise Customer", or "User") agree to be bound by these Terms.
1. Scope of Service & Platform Infrastructure
CrewMento provides a B2B frontline compliance, workforce verification, and Learning Management System (LMS) platform. The platform enables corporate clients to build recurring shift checklists, generate AI compliance templates, assign operators and checkers, collect photo/comment proof, and export audit trails.
2. Multi-Tenant Branch Partitioning & Contractor Liability
- Extended Network Usage: Clients may grant access to third-party suppliers, sub-contractors, vendors, and franchise operators under their multi-tenant branch instance.
- Liability Disclaimer:The Client assumes sole operational, legal, and safety liability for all activities, checklist submissions, photo evidence, and compliance validations completed by its personnel or third-party contractors. CrewMento acts strictly as a software provider and explicitly disclaims liability for factory accidents, regulatory fines, floor downtime, or audit failures incurred on the Client's premises.
3. "Bring Your Own Key" (BYOK) AI Architecture & IP Rights
- AI Integration: CrewMento features AI ingestion tooling powered by a Bring Your Own Key (BYOK) framework. Clients connect their own external Google Gemini API key to run automated checklist generation tools.
- Data & IP Ownership: The Client retains 100% ownership and intellectual property rights over all uploaded operating manuals, chemical safety sheets, schematics, and generated compliance items. We do not claim any ownership over Client data, nor do we use Client manuals to train global or public AI models.
4. Billing, 30-Day Free Trial, & Mid-Cycle Upgrades
- Subscription Structure: Services are billed upfront on an annual recurring basis in either Indian Rupees (INR) or United States Dollars (USD).
- 30-Day Free Trial: New enterprise registrations receive 30 consecutive days of complimentary access. Unless canceled prior to the expiration of the 30-day window, the annual subscription fee will be charged automatically.
- Prorated Mid-Cycle Upgrades: If the Client exceeds its allocated headcount or user tier during an active billing cycle, CrewMento will issue a prorated invoice for the remaining days of the annual term based on the higher tier. Platform access will not be interrupted.
5. Refund Policy & Non-Refundable Nature
- Strict Non-Refundable Terms: Due to statutory GST tax filing requirements in India and foreign currency exchange considerations globally, all annual payments are strictly non-refundable.
- Account Credits: In the event of an early account termination or tier downgrade mid-cycle, no cash refunds will be issued. Any calculated balance may be applied as CrewMento Account Credits toward future renewals or expansion tiers.
6. Termination & 30-Day Data Export Window
- Service Termination: Upon subscription expiration or written termination, active dashboard access will be deactivated.
- Data Retrieval Period: CrewMento will retain and safeguard the Client's historical verification archives and timestamps for thirty (30) calendar days post-termination. The Client may request an export of their compliance records in CSV, Excel, or PDF format during this window. On the 31st day, all Client data will be permanently and irreversibly deleted from our active production servers.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal proceedings or disputes arising from this Agreement shall fall under the exclusive jurisdiction of the competent courts located in the city where Webgrapes Private Limited is officially registered.
